Terms of Service

1. Agreement to Terms

By accessing or using AppXen services ("Services"), including the AppXen website at appxen.ai, the Console at console.appxen.ai, and the Gateway API at api.appxen.ai, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

"AppXen," "we," "us," and "our" refer to AppXen, the operator of the platform. "You" and "your" refer to the individual or entity accessing or using the Services.

2. Service Description

AppXen provides managed AI agent and MCP (Model Context Protocol) server infrastructure deployed on AWS. Our products include:

  • MCP Gateway Pro — Multi-tenant MCP gateway with routing, authentication, and metered billing
  • RAG Engine — Managed retrieval-augmented generation service
  • Agent Orchestrator — Multi-agent coordination and runtime
  • GuardRail — Agent safety, compliance, and observability

Product availability may vary. Products labeled "Coming Soon" are not yet generally available.

3. Account Registration

To use certain features, you must create an account. You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. Notify us immediately at contact@appxen.ai if you suspect unauthorized use.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law
  • Attempt to circumvent rate limits, authentication, or security mechanisms
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to transmit malware, spam, or other harmful content
  • Resell or redistribute the Services without written authorization
  • Exceed your subscribed usage tier or API rate limits

We reserve the right to suspend or terminate accounts that violate these terms.

5. API Usage and Rate Limits

API access is subject to rate limits based on your subscription tier. Exceeding rate limits may result in throttled requests or temporary suspension. Current rate limits are documented in our API documentation and may be updated from time to time.

6. Subscriptions and Billing

AppXen offers metered, usage-based subscriptions through two channels:

  • Stripe (direct) — Payment processing via Stripe with metered billing based on usage (requests and server hours)
  • AWS Marketplace — SaaS subscription through AWS Marketplace with usage reported via AWS Metering Service

Usage is measured and billed according to the pricing published for each product. Prices are subject to change with 30 days' prior notice. You are responsible for paying all fees associated with your usage. Failure to pay may result in service suspension.

For Stripe subscriptions, you authorize us to charge your payment method on file for recurring usage fees. For AWS Marketplace subscriptions, billing is handled through your AWS account according to AWS Marketplace terms.

7. Intellectual Property

The Services, including all software, APIs, documentation, trademarks, and content, are owned by AppXen and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

You retain all rights to your data and content that you process through the Services.

8. Data Ownership

You retain full ownership of all data you submit to or process through the Services ("Your Data"). We do not claim any intellectual property rights over Your Data. We access Your Data only as necessary to provide and improve the Services, and as described in our Privacy Policy.

9. Service Availability

We target 99.9% uptime for production Services, backed by multi-availability-zone AWS infrastructure. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance when possible.

We are not liable for downtime caused by factors outside our reasonable control, including internet outages, AWS infrastructure issues, force majeure events, or actions by third parties.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AppXen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to AppXen in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless AppXen and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may terminate your account at any time by contacting us at contact@appxen.ai or through the Console billing settings. We may suspend or terminate your access if you violate these Terms, with notice where practicable.

Upon termination, your right to use the Services ceases immediately. We will make your data available for export for 30 days following termination, after which it may be deleted.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
